Lockheed Martin to buy Ultra Maritime for $3.45 billion

Lockheed Martin has signed a definitive agreement to acquire Ultra Maritime from Advent for $3.45 billion, expanding its portfolio of undersea warfare and anti-submarine warfare (ASW) capabilities for US and allied naval forces.

Ultra Maritime develops mission-critical maritime defense systems, including sonar technologies, sonobuoys, torpedo defense systems, radar solutions and autonomous maritime sensing platforms. Following completion of the transaction, the company will become part of Lockheed Martin’s Rotary and Mission Systems business area.

Lockheed Martin said the acquisition will strengthen its ability to provide integrated undersea warfare solutions by combining Ultra Maritime’s international footprint and ASW product portfolio with its existing maritime capabilities.

“Undersea superiority belongs to those who move fastest and work together best,” said Stephanie C. Hill, president of Lockheed Martin Rotary and Mission Systems.

“By joining forces with Ultra Maritime, we’re accelerating our commitment to deliver the most advanced undersea and anti-submarine warfare capabilities to our U.S. and allied partners across the globe.”

Ultra Maritime’s portfolio includes exportable ASW technologies such as sonobuoys, towed sonar arrays and hull-mounted sonar systems. Lockheed Martin said these capabilities will complement its sonar solutions for next-generation maritime platforms.

The acquisition follows Advent’s investment in Ultra Maritime in 2022. According to Shonnel Malani, managing partner at Advent and chairman of the Ultra Electronics board, the company has since expanded its industrial capacity, improved execution and developed new autonomous solutions.

The transaction remains subject to customary closing conditions and regulatory approvals.

Once completed, the acquisition will mark another expansion of Lockheed Martin’s presence in the undersea domain as naval forces continue to invest in advanced sensing, autonomous systems and anti-submarine warfare capabilities.
